Proactive Reverse Due-Diligence™

Diligence, run
in reverse.

The doctrine in operation. PRDD surfaces weaknesses before external discovery makes them harder to govern, then sequences truth, correction, rehearsal and transfer so the enterprise can support a defensible basis for valuation.

01 / The movements

Each movement has inputs, people responsible, the findings it produces, a deliverable, and stated limits.

The movements describe how the work is performed, and they recur within every phase of the roadmap below. Examining and substantiating happen in Discovery; addressing gaps dominates Stabilization; communication is tested in Integration and carried into Transaction Mode; maintenance never stops.

01

Examine

Read everything the business says about itself, then look at how it actually operates. Decks, websites, offering drafts, board papers, recruiting pages and the way management describes the business in conversation are all claims. We collect them, and then we look at the operation directly.

Inputs
Existing presentations and web content; organization chart; recent board papers; management interviews; a walk through core processes.
Responsible
Owner or CEO as sponsor; a named internal coordinator; DOUGLAS USA leads review.
Findings
A claims inventory, and first observations of where story and operation visibly diverge.
Deliverable
Claims register (draft); scope confirmation.
Limitation
Examination relies on what is made available. Documents withheld or unknown cannot be reviewed.
02

Substantiate

Link each material claim to its evidence: contracts, system reports, process records, observable practice. Classify each as established fact, management interpretation, estimate, forecast or proposed capability; record evidence maturity and the seven attributes of evidence quality; and mark where support is thin, partial or contradicted.

Inputs
Contracts and amendments; revenue and customer data; process documentation; HR and retention data; supplier agreements.
Responsible
Evidence owners named for each area (finance, operations, sales, people).
Findings
Supported, partly supported, unsupported and contradicted claims; contradiction log; key-person map.
Deliverable
Evidence register with sources, owners, dates and scope.
Limitation
Substantiation tests consistency and traceability. It is not an audit of financial statements and does not verify accounting treatment.
03

Address gaps

Decide what to do about each material gap: fix the underlying practice, correct the record, narrow the claim, or state it as an unresolved condition. Connect each remaining exposure to the specific term it will touch, without charging the same risk twice. Prioritize by materiality and by how much time remains before the record will be read.

Inputs
Evidence register; timeline to any event; leadership capacity.
Responsible
Action owners assigned by leadership, with approval for any change to external statements.
Findings
Which gaps are operational, which are documentary, and which must be disclosed.
Deliverable
Prioritized action plan with owners, dates and review points; items referred to counsel or accountants.
Limitation
We recommend and organize. Decisions, and any legal or accounting judgments, remain with the business and its professional advisers.
04

Communicate

Build the narrative from the register outward, so that every material statement can be traced, genuine strengths are articulated rather than understated, and unresolved conditions are stated within the decision they affect. Then derive the board paper, investor summary or web copy from that single versioned source.

Inputs
Updated register; action plan status; audience and purpose of the communication.
Responsible
Leadership approves; DOUGLAS USA drafts using DK PRISM 2.0; advisers review as appropriate.
Findings
Claims that can be made, claims that must be qualified, and open items to disclose.
Deliverable
Evidence-linked narrative; readiness briefing; source-referenced appendices.
Limitation
Narratives are not offering documents. Anything used in a securities context must be reviewed by counsel.
05

Maintain

Keep the record current as the business changes. Agree review triggers, such as a key hire or departure, a top-customer change, a new system or a new public claim, and a regular cadence for re-examination.

Inputs
Change events; refreshed data; prior register and narrative versions.
Responsible
Internal register owner; periodic review with DOUGLAS USA if engaged.
Findings
Stale evidence, new claims, new dependencies.
Deliverable
Updated register; version history of the narrative; refreshed action plan.
Limitation
Ongoing readiness reduces surprises; it cannot anticipate every change or guarantee a future outcome.

02 / Roadmap to Readiness

Four phases, gated on demonstrated conditions.

A late-stage diligence scramble puts correction and ordinary operations in direct competition for the same people. The roadmap orders the work so the enterprise can strengthen itself without damaging the performance it is meant to protect.

P1

Discovery and Truth

Establishes what exists

An honest baseline across the Five Anchors that separates established facts, unresolved questions and management interpretations. Names the flaw that could stop a transaction and distinguishes severity from inevitability. Brings in accounting, legal, technical or regulatory expertise where significance requires it.

Gate to proceedA faithful baseline that has not been softened, so later improvement can be measured.

P2

Stabilization and Repair

Addresses material weakness

Shadow processes understood before they are removed; hero dependencies converted through knowledge transfer and a prepared successor; leadership conflict resolved by a governing process; narrative gaps resolved by changing the claim, the operation, or both. Workload is managed so correction does not damage results.

Gate to proceedGoverned exposure and effective responsibility, with funded owners.

P3

Integration and Rehearsal

Tests the corrected structure together

Mock diligence and crisis simulation; the pre-mortem; consistency across functions and advisers under adverse findings.

Gate to proceedTested connections among people, processes, records and claims.

P4

Transaction Mode

Maintains structure under scrutiny

The data room as a governed disclosure instrument; one common factual foundation; new facts entering a defined process rather than producing contradictory explanations; operations, liquidity and staff capacity protected.

Gate to proceedDisciplined external engagement without abandoning internal control.

The 12 to 24 month horizon

The doctrine uses a 12 to 24 month horizon as an adaptable planning frame for substantial readiness work. It is not a promise, and not a universal requirement. Some records can be corrected in weeks; leadership habits, institutional knowledge and cultural practice take longer to demonstrate change. The actual period depends on the starting condition, scope, resources and the contemplated commitment.

Elapsed time never establishes readiness. The enterprise is ready to proceed when it has examined and established the necessary conditions, not when the preparation period has ended. A completed document is evidence of work performed; it is not necessarily evidence that the intended condition exists.

03 / Failure Lens

How a material breakdown develops.

Visible consequences can arrive long after the originating condition was present. The Failure Lens examines a finding four ways.

ExaminationQuestionDiscipline
StructuralWhat is weakening?Identify the actual condition across identity, leadership, culture, operations and narrative, not just a label.
DiagnosticWhat remains unknown or insufficiently tested?Distinguish missing information from evidence examined but inconclusive.
EconomicWhat consequence follows for the decision?Connect the finding to its actual mechanism: cash flow, price, escrow, earnout, indemnity, liquidity, covenant or timing. Avoid one general valuation reduction.
TemporalWhen did it arise, become known, and remain correctable? The date of discovery is not the date of origin; assess delay against the authority, evidence and resources actually available.

Four dates, kept separate

The worksheet records occurrence (when the condition began), discovery (when someone noticed), escalation (when information sufficient to act reached authority) and action (when a response began). Where the origin date is uncertain, that uncertainty is preserved rather than filled in. A long-known weakness left unresolved raises different questions about authority and oversight than a late-discovered one.

Cause, containment, correction, verification, residual exposure

Immediate stabilization may be needed to protect service, liquidity, safety or legal position while the causal examination continues. It is recorded separately from permanent correction at the point of origin. Each response names an authorized owner, resources, deadline and verification method, and residual exposure is recorded on its own line. The record is complete only when someone who was not in the room can understand the action and its demonstrated result.

04 / Failure Lens Scorecard

Four ratings. Twenty points. Zero probabilities.

1 - 5

Structural

Coherence of identity, authority, culture and actual operations.

1 - 5

Diagnostic

Whether material assumptions are tested and evidence is sufficient for the decision. Volume alone earns nothing.

1 - 5

Economic

How clearly the financial consequence of findings is explained. Quality of analysis, not market luck.

1 - 5

Temporal

Timeliness of identification and response, through appropriate authority.

1 or 2
Elevated exposure within the assessment.
3
Partial readiness.
4 or 5
Requires stronger, current evidence of coherence.

05 / Rehearsal

Mock diligence and the pre-mortem.

The first serious test should not occur when counterparties are already reading every answer through price and terms.

Mock diligence

Integration-phase rehearsal examines the business, not the readiness program. It asks whether financial explanations align with operating records, whether leadership answers stay consistent across functions, whether a process holds when an exception occurs, and whether adverse findings travel through the right authority while known facts stay distinct from matters under investigation.

The pre-mortem

Leadership assumes the transaction has failed and asks why. What did the buyer find? Which condition had we minimized or deferred? Which dependency mattered only when transfer was attempted? Did we protect ordinary performance, keep advisers on one factual foundation, and avoid entering the process before we could support our claims? Each credible concern is linked to evidence, an investigator and a response decision; a list without follow-through is just another activity.

Five Anchors in the method

Where to look, and what counts as evidence.

A

Identity alignment

Can leaders independently explain the primary value driver and the trade-offs governing important decisions, and do recent decisions match?

Questions

  • How do we describe ourselves to customers, recruits and investors, and are those descriptions consistent?
  • Which claims about market position can we source?

Observable evidence

Website, decks and proposals compared side by side; customer feedback; win and loss records.

B

Leadership integration

Can consequential conflict be resolved without the founder as sole mediator, and can designated successors actually exercise the required authority?

Questions

  • Who actually makes pricing, hiring and customer decisions?
  • What happens when the owner is unavailable for two weeks?

Observable evidence

Delegation of authority; approval trails; meeting records; calendar of key-customer contact.

C

Cultural coherence

How quickly does significant adverse information reach leadership, and how does the organization respond when it arrives?

Questions

  • Do stated values match what is rewarded?
  • Where do people leave, and what do they say on the way out?

Observable evidence

Retention and tenure data; incentive plans; exit notes; consistency of conduct across sites.

D

Operational truth

Have shadow processes been identified, can financial and operating records be connected, and do documented procedures match actual execution?

Questions

  • Can core processes be shown working, not just described?
  • Where are the workarounds, and who maintains them?

Observable evidence

Process documentation in use; system reports; rework and defect logs; capacity data; shadow-process list.

E

Narrative integrity

Do material external claims correspond to current operating conditions, and are past setbacks described with their response and demonstrated result?

Questions

  • Does every material statement in our materials trace to evidence?
  • Are genuine strengths stated as fully as the evidence allows?

Observable evidence

Claims register; contradiction log; narrative version history; disclosed open items.

Distinctions

What PRDD is, and what it sits beside.

PRDD is seller-led or owner-led preparation. It is useful partly because it is not any of the following, and should never be presented as one.

DisciplineWho performs itHow PRDD relates
Buy-side due diligenceThe buyer or investor and its advisersIndependent of the business. PRDD anticipates its questions and organizes the record it will examine.
Quality of earningsAccounting firmsAnalyzes earnings and adjustments. PRDD connects operating evidence to the questions QoE will raise, without adjusting numbers.
AuditLicensed auditorsIssues an opinion on financial statements. PRDD issues no opinion of any kind.
ValuationValuation professionals and the marketConcludes on value. PRDD clarifies the evidence a valuer may weigh, without estimating value.
Legal reviewCounselInterprets contracts, compliance and disclosure obligations. PRDD flags clauses and items for counsel to interpret.

Perpetual readiness

Not a different method. The same method, kept running.

Perpetual readiness is simply PRDD treated as an ongoing practice rather than a project. The Maintain movement feeds back into Examine: when something material changes, the affected claims are re-examined, the evidence refreshed and the narrative re-versioned.

In a lightly run program this might mean a quarterly review of the register, a named owner for each evidence area, and a short list of triggers that prompt an unscheduled look. The aim is that an unexpected approach, board question or lender request can be answered from a current record, rather than by a scramble.

The light recurring process must not be used to avoid a deeper examination when circumstances warrant one. The Quarterly Readiness Pulse flags those conditions.

For a practical walkthrough, see the ongoing readiness article.
